Terms of Service

Effective date: August 1, 2026 · Yesodi ("the Platform")

These Terms of Service ("Terms") are a binding agreement between the member ("Member") and Yesodi. By creating an account, accessing, or using the Platform, the Member accepts these Terms and the Financial Terms, which are incorporated by reference. A Member who does not accept these Terms must not use the Platform.

1. Eligibility

The Platform is available only to persons 18 years of age or older who can form a binding contract. Accounts are personal and non-transferable. Yesodi may refuse, suspend, or terminate any account at its sole discretion, at any time, with or without notice, and with or without cause.

2. Accounts and security

The Member is solely responsible for all activity under the account, for the accuracy of information provided, and for keeping credentials confidential. Yesodi may require identity verification at any time and may restrict the account until verification is complete.

3. Member content

The Member retains ownership of published content and grants Yesodi a worldwide, non-exclusive, royalty-free license to host, display, distribute, index, and promote that content on the Platform, in search engines, and in AI search systems. Yesodi may remove any content at its sole discretion, at any time, without notice and without refund of any fee paid for its publication, where the content violates these Terms, applicable law, or Platform standards.

4. Prohibited conduct

The following are strictly prohibited and are grounds for immediate termination and forfeiture as described in the Financial Terms: fraud or misrepresentation of any kind; use of stolen or unauthorized payment instruments; creation of multiple or fake accounts; manipulation of promotions, games, referral rewards, or any earning mechanism; harassment or unlawful content; scraping or automated access; interference with Platform operation; and circumvention of Platform fees.

5. Transactions between members

Yesodi is a venue. Sales, services, tickets, meetings, and any other dealings between members are contracts between those members alone. Yesodi is not a party to those dealings, provides no warranty regarding them, and has no obligation to mediate member disputes, although it may choose to do so at its discretion.

6. Disclaimers

The Platform is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Yesodi does not warrant uninterrupted or error-free operation, or any particular distribution, ranking, visibility, or commercial result from any paid or unpaid feature.

7. Limitation of liability

To the maximum extent permitted by law, the aggregate liability of Yesodi to a Member for all claims arising out of or relating to the Platform shall not exceed the greater of (a) the total fees paid by that Member to Yesodi in the three months preceding the claim, or (b) fifty US dollars. Yesodi shall not be liable for indirect, incidental, consequential, special, or punitive damages, or for lost profits, revenue, data, or goodwill.

8. Indemnification

The Member shall defend, indemnify, and hold harmless Yesodi and its officers, employees, and agents from any claim, loss, or expense, including reasonable legal fees, arising out of the Member's content, conduct, transactions, breach of these Terms, or violation of law.

9. Disputes, arbitration, class action waiver

Any dispute arising out of or relating to these Terms or the Platform shall be resolved by binding individual arbitration. THE MEMBER WAIVES ANY RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION. Claims within the jurisdiction of a small claims court are excepted. These Terms are governed by the laws of the State of New York, without regard to conflict of law rules.

10. Changes and termination

Yesodi may amend these Terms at any time by posting the amended version on this page; continued use constitutes acceptance. Yesodi may discontinue any feature at any time. Upon account termination, the provisions concerning forfeiture, liability, indemnification, and disputes survive.

11. Severability

If any provision is found unenforceable, it shall be modified to the minimum extent necessary and the remaining provisions remain in full force.
